Terms of Service

The agreement governing your use of Haruspex.

1. Introduction

Welcome to Haruspex (“Haruspex,” “we,” “our,” or “us”), an AI-powered investment intelligence platform available through haruspex.guru and related services.

These Terms of Service (“Terms”) govern your access to and use of Haruspex, including our website, applications, APIs, Model Context Protocol (MCP) integrations, analytical tools, paper trading environment, trading agents, and any related services we make available (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any additional policies or guidelines that are expressly incorporated by reference.

If you do not agree to these Terms, you must not access or use the Service.

Haruspex may modify these Terms from time to time in accordance with Section 22 (Changes to these Terms). Your continued use of the Service after revised Terms become effective constitutes your acceptance of those changes.

2. Eligibility

You may use the Service only if:

  • you are at least eighteen (18) years old;
  • you have the legal capacity to enter into a binding agreement;
  • your use of the Service complies with all applicable laws and regulations in your jurisdiction; and
  • you are not prohibited from accessing or using the Service under applicable sanctions, export control laws, or other legal restrictions.

The Service is intended solely for personal or internal business use unless Haruspex expressly authorizes another use in writing.

You represent and warrant that all information you provide to Haruspex is accurate, complete, and kept up to date.

3. Geographic Availability

Haruspex operates internationally but does not make the Service available in every jurisdiction.

We may restrict, suspend, or deny access to the Service, in whole or in part, based on geographic location, applicable law, regulatory requirements, security concerns, or other operational considerations.

Accessing the Service from a jurisdiction where it is prohibited is done at your own risk. You are solely responsible for ensuring that your use of the Service is lawful in your jurisdiction.

Nothing in these Terms shall be interpreted as an offer to provide the Service in any jurisdiction where such offer would be unlawful.

4. Definitions

For purposes of these Terms:

Account means a registered user profile that enables access to authenticated features of the Service.

Analysis means any analytical output, score, report, summary, narrative, recommendation framework, visualization, or other information generated or presented through the Service.

AI Output means any content generated, in whole or in part, using artificial intelligence or machine learning models made available through the Service.

Paper Trading means the simulated trading environment provided by Haruspex using virtual funds and simulated market activity.

Trading Agent means a configurable automation feature that allows users to define analytical or simulated trading rules within the Service.

User Content means any information, data, text, files, feedback, configurations, watchlists, trading rules, messages, or other materials submitted or uploaded by a user.

Service means the Haruspex website, dashboard, APIs, MCP integrations, software, analytical services, AI-generated content, Paper Trading environment, Trading Agents, and all related products and services operated by Haruspex.

User means any individual or entity accessing or using the Service.

5. Description of the Service

Haruspex is an artificial intelligence-powered investment intelligence platform designed to assist users in researching publicly traded securities through data-driven analysis and educational insights.

The Service combines proprietary analytical methodologies with artificial intelligence models and data obtained from third-party sources to generate stock analyses, investment scores, market intelligence, research summaries, and related informational content.

Depending on feature availability, the Service may include:

  • AI-generated stock analysis and reports;
  • multi-factor investment scoring;
  • market rankings and comparative analysis;
  • personalized watchlists;
  • alerts and notifications;
  • Paper Trading;
  • Trading Agents;
  • APIs and developer tools;
  • public stock analysis pages;
  • integrations with supported third-party platforms; and
  • additional research and educational features introduced from time to time.

The Service is continuously developed and improved. Haruspex may modify, add, suspend, or discontinue any feature, functionality, or portion of the Service at any time without prior notice.

Nothing in these Terms guarantees that any specific feature or functionality will remain available.

6. Artificial Intelligence and Analytical Output

A significant portion of the Service relies on artificial intelligence models and automated analytical systems.

You acknowledge and agree that:

  • AI Output is generated through probabilistic models rather than deterministic processes;
  • identical requests may produce different results over time;
  • AI Output may contain errors, omissions, inaccuracies, inconsistencies, or outdated information;
  • AI models may fail to incorporate information that could materially affect an investment analysis;
  • Haruspex does not guarantee the accuracy, completeness, reliability, or suitability of any AI Output.

The Analysis provided through the Service is intended solely as informational and educational material to assist users in conducting their own independent research.

You are solely responsible for evaluating all information before relying upon it for any financial, investment, commercial, or personal decision.

7. No Financial Advice

Haruspex is not a broker-dealer, investment adviser, financial planner, securities exchange, fiduciary, or financial institution.

Nothing available through the Service constitutes or should be interpreted as:

  • financial advice;
  • investment advice;
  • legal advice;
  • tax advice;
  • accounting advice;
  • an offer to buy or sell securities;
  • a recommendation to purchase, hold, or dispose of any financial instrument.

Any investment decision you make is made entirely at your own discretion and risk.

You should consult qualified professional advisers before making financial or investment decisions.

Past performance, historical data, simulated performance, and AI-generated analyses are not guarantees of future results.

8. Paper Trading

Haruspex provides a simulated trading environment (“Paper Trading”) for educational and research purposes.

Paper Trading uses virtual capital and simulated transactions. No actual securities are bought or sold, and no brokerage services are provided through the Service.

Paper Trading results are hypothetical and may differ materially from actual trading outcomes.

Among other limitations, simulated trading may not accurately reflect:

  • market liquidity;
  • order execution timing;
  • bid-ask spreads;
  • slippage;
  • transaction costs;
  • taxes;
  • regulatory restrictions;
  • trading halts;
  • real-world market behavior.

Accordingly, Paper Trading performance should not be interpreted as evidence that similar results could be achieved through actual investing.

9. Trading Agents

The Service may permit users to configure automated Trading Agents that monitor securities, evaluate predefined conditions, generate alerts, or perform actions within the simulated Paper Trading environment.

Trading Agents operate solely according to user-defined rules and the data available to the Service.

Haruspex does not guarantee that Trading Agents will:

  • execute continuously;
  • evaluate conditions without interruption;
  • detect every market event;
  • generate accurate signals; or
  • operate without errors or delays.

Users remain solely responsible for configuring, monitoring, and evaluating Trading Agents.

Trading Agents are intended solely for informational and educational purposes and must not be relied upon as substitutes for independent judgment or professional financial advice.

10. Beta Features and Experimental Services

From time to time, Haruspex may make available features identified as beta, preview, experimental, early access, or by similar designation.

These features are provided for evaluation purposes and may:

  • contain defects or errors;
  • be modified without notice;
  • produce unexpected results;
  • become unavailable at any time; or
  • never become generally available.

To the fullest extent permitted by law, beta and experimental features are provided without any representation or warranty regarding performance, reliability, or availability.

11. Account Registration

Certain features of the Service require the creation of an Account.

When registering for an Account, you agree to:

  • provide accurate, complete, and current information;
  • maintain and promptly update your Account information as necessary;
  • use a valid email address that you control;
  • maintain the confidentiality of your login credentials; and
  • accept responsibility for all activities that occur under your Account.

You are responsible for safeguarding your Account and any authentication credentials associated with it. Haruspex is not responsible for losses arising from your failure to maintain the security of your Account.

You must notify Haruspex immediately if you believe your Account has been accessed without authorization or your credentials have been compromised.

12. Authentication and Account Security

Haruspex uses secure authentication services to protect user accounts. While we implement reasonable administrative, technical, and organizational safeguards, no authentication system or internet transmission can be guaranteed to be completely secure.

You agree not to:

  • share your Account with another person;
  • permit another person to access the Service using your credentials;
  • purchase, sell, lease, or transfer Accounts;
  • create Accounts using false or misleading information;
  • impersonate another individual or organization;
  • attempt to gain unauthorized access to another user’s Account.

Haruspex reserves the right to require identity verification where necessary to protect the integrity or security of the Service.

13. User Responsibilities

You are solely responsible for your use of the Service and for ensuring that your activities comply with these Terms and all applicable laws.

You agree that you will:

  • use the Service only for lawful purposes;
  • independently evaluate all Analysis before relying upon it;
  • maintain appropriate security for your Account and devices;
  • comply with applicable securities, financial, and export control laws;
  • use the Service responsibly and in good faith.

You acknowledge that Haruspex provides analytical tools and does not make investment decisions on your behalf.

14. User Content

The Service allows you to submit, upload, create, configure, or transmit information, including but not limited to:

  • watchlists;
  • Trading Agent configurations;
  • Paper Trading activities;
  • feedback;
  • affiliate applications;
  • support requests;
  • contact messages;
  • uploaded files;
  • other content or materials (collectively, “User Content”).

You retain ownership of your User Content.

You represent and warrant that:

  • you own or otherwise have the necessary rights to submit the User Content;
  • the User Content does not infringe the rights of any third party;
  • the User Content does not violate any applicable law or these Terms.

You remain solely responsible for the User Content that you submit through the Service.

15. License to User Content

To operate the Service, you grant Haruspex a worldwide, non-exclusive, royalty-free, revocable (subject to this Section), sublicensable license to:

  • host;
  • store;
  • reproduce;
  • process;
  • transmit;
  • display;
  • format;
  • modify where technically necessary; and
  • otherwise use your User Content solely for the purpose of:
  • operating the Service;
  • providing requested functionality;
  • maintaining system security;
  • troubleshooting;
  • improving the Service; and
  • complying with legal obligations.

Haruspex does not claim ownership of your User Content.

This license automatically terminates when your User Content is permanently deleted from our systems, except where continued retention is required by law, necessary for legitimate business purposes, or permitted under our Privacy Policy.

16. Feedback

If you voluntarily provide Haruspex with suggestions, ideas, enhancement requests, recommendations, bug reports, feature requests, or other feedback regarding the Service (“Feedback”), you grant Haruspex a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, publish, distribute, and incorporate such Feedback into the Service without restriction or compensation.

You acknowledge that Haruspex has no obligation to implement any Feedback.

17. Acceptable Use

You agree to use the Service responsibly and in accordance with these Terms.

You must not:

  • violate any applicable law or regulation;
  • use the Service for fraudulent, deceptive, or unlawful purposes;
  • interfere with or disrupt the operation of the Service;
  • attempt to gain unauthorized access to systems, networks, or data;
  • bypass authentication or security mechanisms;
  • probe, scan, or test the vulnerability of the Service without authorization;
  • introduce malware, ransomware, viruses, or other malicious code;
  • scrape, harvest, or systematically extract data from the Service except where expressly permitted;
  • interfere with another user’s use of the Service;
  • misuse public analysis pages or APIs;
  • attempt to manipulate platform analytics, rankings, scoring methodologies, referral systems, or usage limits;
  • use automated systems to overload or impair the Service;
  • infringe the intellectual property or privacy rights of others;
  • use the Service in connection with market manipulation, securities fraud, insider trading, or other unlawful financial activity.

Haruspex may investigate suspected violations of these Terms and cooperate with law enforcement or regulatory authorities where required by applicable law.

18. Suspension and Enforcement

Haruspex may, without prior notice and at its sole discretion, suspend, restrict, or terminate access to all or part of the Service if we reasonably believe that:

  • these Terms have been violated;
  • the security or integrity of the Service is at risk;
  • your use may expose Haruspex or other users to legal or regulatory liability;
  • fraudulent, abusive, or suspicious activity has occurred; or
  • suspension is otherwise necessary to protect the Service, our users, or third parties.

Where reasonably practicable, Haruspex may notify you of the reason for the suspension. However, Haruspex is not obligated to provide advance notice where doing so could compromise security, interfere with an investigation, or violate applicable law.

19. Intellectual Property

The Service, including its software, source code, object code, algorithms, scoring methodologies, analytical models, artificial intelligence systems, user interface, design, text, graphics, logos, trademarks, databases, documentation, and all other content made available through the Service, is owned by or licensed to Haruspex and is protected by applicable intellectual property and other laws.

Except for the limited rights expressly granted under these Terms, no ownership rights or licenses are transferred to you.

You may not, except as expressly permitted by applicable law or with Haruspex’s prior written consent:

  • copy, reproduce, or distribute any portion of the Service;
  • modify, adapt, translate, or create derivative works;
  • reverse engineer, decompile, or attempt to discover the source code of the Service;
  • remove copyright, trademark, or proprietary notices;
  • use Haruspex trademarks, branding, or logos in a manner suggesting endorsement or affiliation;
  • commercially exploit any portion of the Service.

Nothing in these Terms grants you any ownership interest in the Service or its intellectual property.

20. Public Content and Limited License

Subject to these Terms, Haruspex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for its intended purposes.

This license does not permit you to:

  • redistribute Analysis at scale;
  • build competing products using the Service or its outputs;
  • mirror or republish substantial portions of the Service;
  • remove attribution from publicly available Haruspex content;
  • use automated systems to reproduce Haruspex content beyond reasonable personal use.

Haruspex reserves all rights not expressly granted under these Terms.

21. APIs and Developer Access

Haruspex may make APIs, developer tools, integrations, or Model Context Protocol (MCP) services available to authorized users.

Where API credentials are issued, you are responsible for maintaining their confidentiality.

You agree that you will not:

  • share API credentials with unauthorized persons;
  • embed credentials in publicly accessible code repositories;
  • attempt to circumvent authentication or rate limits;
  • interfere with the operation or security of any API;
  • use APIs in a manner that degrades the Service for other users;
  • misrepresent the origin of requests made to the Service.

Haruspex may impose rate limits, usage limits, feature restrictions, or technical requirements at any time.

Haruspex reserves the right to suspend or revoke API access if we reasonably believe it is being misused or presents a security, operational, or legal risk.

22. Third-Party Services

The Service relies upon infrastructure, software, artificial intelligence models, market data providers, authentication providers, analytics providers, cloud hosting providers, and other third-party services.

Haruspex does not own or control these third-party services and is not responsible for their availability, security, performance, accuracy, or policies.

Certain features of the Service may require interaction with third-party platforms. Your use of those platforms may also be subject to separate agreements between you and the applicable provider.

Haruspex is not liable for interruptions, inaccuracies, delays, or losses resulting from third-party services or data sources beyond our reasonable control.

23. Availability of the Service

Haruspex continually develops and improves the Service.

Accordingly, we may:

  • add new functionality;
  • modify existing features;
  • discontinue features;
  • perform maintenance;
  • implement security updates;
  • migrate infrastructure;
  • change supported integrations.

We do not guarantee that the Service, or any particular feature, will remain available indefinitely.

Temporary interruptions may occur due to maintenance, software updates, infrastructure failures, security incidents, third-party outages, or circumstances beyond our reasonable control.

While Haruspex will make commercially reasonable efforts to maintain reliable availability, uninterrupted access is not guaranteed.

24. Subscription Plans

Haruspex may offer different levels of access to the Service, including free and premium plans.

Features available under each plan may change over time.

At the time these Terms become effective, commercial payment processing may not yet be available. Haruspex may provide premium access, promotional access, or trial access at its sole discretion without requiring payment.

Nothing in these Terms obligates Haruspex to continue providing premium features without charge.

25. Future Billing

If Haruspex introduces paid subscriptions or other paid services in the future:

  • pricing will be published before charges are incurred;
  • users will have an opportunity to review applicable fees before purchasing;
  • recurring subscriptions will renew automatically unless cancelled before the applicable renewal date, where permitted by law;
  • applicable taxes may be added where required by law.

Additional billing terms may be published when commercial payment processing becomes available and shall become part of these Terms upon publication.

26. Promotional Access

Haruspex may provide promotional access, early access, beta access, complimentary subscriptions, referral benefits, or other incentives.

Such benefits:

  • have no cash value unless expressly stated otherwise;
  • may be modified or discontinued at any time;
  • may be revoked where obtained through fraud, abuse, or violation of these Terms.

Haruspex reserves the right to determine eligibility for promotional programs in its sole discretion.

27. Affiliate Program

Haruspex may operate an affiliate or referral program that permits eligible users to promote the Service.

Participation in any affiliate or referral program is subject to these Terms and any additional Affiliate Program Terms published by Haruspex.

Haruspex may suspend or terminate participation in any affiliate or referral program where fraudulent, deceptive, abusive, or non-compliant conduct is detected.

Any commission, reward, or promotional benefit may be withheld or forfeited where Haruspex reasonably believes that it was obtained through manipulation, self-referrals, automated registrations, or other prohibited practices.

Participation in an affiliate program does not create any partnership, agency, employment, joint venture, or similar legal relationship between Haruspex and the participant.

28. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HARUSPEX DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF:

  • merchantability;
  • fitness for a particular purpose;
  • title;
  • non-infringement;
  • accuracy;
  • completeness;
  • reliability;
  • availability;
  • uninterrupted operation; and
  • freedom from errors, viruses, or other harmful components.

Haruspex does not warrant that:

  • the Service will operate without interruption;
  • the Service will always be available;
  • defects or errors will be corrected;
  • Analysis or AI Output will be accurate, complete, or current;
  • the Service will meet your expectations or requirements; or
  • use of the Service will produce any particular financial, investment, or commercial outcome.

Your use of the Service is entirely at your own risk.

29. Limitation of Liability

To the fullest extent permitted by applicable law, Haruspex, its operators, affiliates, licensors, service providers, and contributors shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to the Service or these Terms.

This limitation includes, without limitation:

  • investment losses;
  • trading losses;
  • lost profits;
  • lost revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of data;
  • business interruption;
  • procurement of substitute services;
  • computer failure;
  • security incidents; and
  • any other commercial or economic loss.

Haruspex shall not be liable for damages arising from:

  • reliance upon Analysis or AI Output;
  • market fluctuations;
  • inaccuracies in third-party data;
  • decisions made by users;
  • interruptions or failures of third-party services;
  • unauthorized access to user accounts caused by the user’s failure to maintain reasonable security.

To the maximum extent permitted by law, Haruspex’s total aggregate liability arising out of or relating to the Service shall not exceed the greater of:

  • one hundred United States dollars (USD $100); or
  • the total amount actually paid by you to Haruspex during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, liability shall be limited to the maximum extent permitted by applicable law.

30. Indemnification

You agree to defend, indemnify, and hold harmless Haruspex, its operators, affiliates, service providers, licensors, contractors, and representatives from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • your infringement of any intellectual property, privacy, or other rights of a third party;
  • your misuse of the Service.

Haruspex reserves the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate fully with our defense.

31. Suspension and Termination

You may stop using the Service at any time.

Haruspex may suspend, restrict, disable, or terminate your Account or access to the Service immediately if we reasonably believe that:

  • you have violated these Terms;
  • your use presents a security risk;
  • your use creates legal or regulatory exposure;
  • fraudulent or abusive activity has occurred;
  • continued access could adversely affect the Service or other users.

Haruspex may also discontinue the Service, or any portion of it, at any time.

Termination does not affect rights or obligations that by their nature should survive termination, including provisions relating to:

  • intellectual property;
  • indemnification;
  • disclaimers;
  • limitation of liability;
  • dispute resolution;
  • governing law.

32. Changes to the Service

Haruspex continually evolves its products and services.

Accordingly, we may:

  • introduce new functionality;
  • modify existing functionality;
  • discontinue products or features;
  • change supported technologies;
  • revise technical requirements.

We may perform maintenance, upgrades, migrations, or security improvements that temporarily affect availability.

Nothing in these Terms obligates Haruspex to continue offering any specific feature, integration, or functionality.

33. Changes to these Terms

Haruspex may revise these Terms from time to time to reflect changes in the Service, applicable law, security practices, or business operations.

When material changes are made, we will update the “Last Updated” date and, where appropriate, provide additional notice through the Service or by email.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of those revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Service.

34. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator of Haruspex is legally established at the time the dispute arises, without regard to conflict of law principles.

If Haruspex becomes incorporated under a different jurisdiction in the future, these Terms may be updated to reflect that jurisdiction without affecting the validity of the remaining provisions.

35. Dispute Resolution

Before initiating legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through informal negotiations.

If a dispute cannot be resolved through negotiation within a reasonable period, it shall be submitted to confidential and binding arbitration conducted by a recognized arbitration institution selected by Haruspex, unless applicable law requires otherwise.

Nothing in this Section prevents either party from seeking temporary or permanent injunctive relief where necessary to protect intellectual property rights, confidential information, or the security of the Service.

36. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

37. Waiver

No failure or delay by Haruspex in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.

Any waiver must be made expressly in writing and shall apply only to the specific circumstance for which it is given.

38. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the complete and exclusive agreement between you and Haruspex regarding your use of the Service and supersede all prior or contemporaneous understandings relating to the Service.
